Crowdfunding

Crowdfunding is the use of small amounts of capital from a large number of individuals to finance a new business venture. The three crowdfunding exemptions that permit the offering of securities through general solicitation, include (1) Regulation A+ which permits companies to raise up to $50M during any 12-month period from both accredited and non-accredited investors, (2) Regulation CF, which permits companies to raise up to $1.07M during any 12-month period from both accredited and non-accredited investors, and (3) Regulation D, Rule 506(c), which permits companies to raise an unlimited amount of funds from accredited investors. In addition, Regulation S permits the sale of securities to both accredited and non-accredited international investors, subject to the securities laws of the investor’s country of residence.
